PROPRIETARY RIGHTS
You acknowledge and agree that all content and materials made available on the Site, such as software, designs, images, text, editorial materials, data, photographs, illustrations, games, audio clips, video clips, digital streams and downloads, footage, short features, artwork and other graphic materials, names, logos, icons, trademarks and service marks, and the compilation of all content and materials on the Site are the exclusive property of VERSUS and its suppliers and licensors and are protected by United States and international intellectual property laws. You may use, display and print one copy of the content and materials on the Site on a single computer for your noncommercial and personal use only, provided that you maintain all copyright and other proprietary notices contained in such content or materials. You agree not to reproduce, download (other than page caching), modify, create derivative works of, publicly display or perform, distribute, transmit, disseminate, broadcast, publish, adapt, sell, license or rent any content or materials made available on the Site (including, without limitation, display or distribution via a third party website) without VERSUS' prior written consent. You may not frame or utilize framing techniques to enclose any content or materials (including images, text, video or audio clips) on the Site or create a hyperlink (or any other link) to the Site using any trademark or logo of VERSUS to access such content or materials without VERSUS' prior written consent. You further agree that you will not disassemble, decompile or reverse engineer any of the materials or underlying software made available on the Site.

YOUR INFORMATION
You may be directed to provide VERSUS' information about yourself in connection with creating a member profile, registering for services made available on the Site or otherwise in responding to or participating in offers or promotions provided on the Site. You agree that all information you provide to VERSUS' will be true and accurate.

UNSOLICITED SUBMISSION POLICY
VERSUS is pleased to hear from its loyal fans and welcomes your comments regarding VERSUS. Except where VERSUS specifically requests comments or submissions, VERSUS does not accept or consider creative ideas, suggestions, or materials other than those it has specifically requested. This policy is designed to avoid misunderstandings if projects developed by VERSUS' professional staff seem to others to be similar to their own creative work.  Accordingly, VERSUS requests that your comments relate to those services and products offered by VERSUS, and that you not submit any creative ideas, suggestions, or materials except where specifically requested or solicited.  If you do send us an unsolicited submission, you agree not to assert any ownership right of any kind in the unsolicited submission against VERSUS (including, but not limited to copyright, trademark, unfair competition, moral rights, or implied contract), you hereby grant VERSUS a nonexclusive, perpetual, worldwide license to the unsolicited submission in every media and for every purpose now known or hereinafter discovered and you waive the right to receive any financial or other consideration in connection with such unsolicited submission including, but not limited to, credit.  You release VERSUS (and our officers, directors, agents, subsidiaries, joint ventures and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with your unsolicited submissions, including without limitation all claims for theft of ideas or copyright infringement.

SOLICITED SUBMISSION POLICY
Where VERSUS has specifically invited or requested submissions, VERSUS encourages members of the public to submit user published content or user content (e.g. postings to chatrooms, participation in communities, videos, tips, etc.) to VERSUS that they have created for consideration in connection with the Site and any related television programs and wireless and online broadcasts (“User Submissions”).  User Submissions remains the intellectual property of the individual user. By posting content on our Site, you expressly grant VERSUS a non-exclusive, perpetual, irrevocable, royalty-free, fully paid-up worldwide, fully sub-licensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, transmit, perform and display such content and your name, voice, and/or likeness as contained in your User Submission, in whole or in part, and in any form throughout the world in any media or technology, whether now known or hereafter discovered, including all promotion, advertising, marketing, merchandising, publicity and any other ancillary uses thereof, and including the unfettered right to sublicense such rights, in perpetuity throughout the universe. Any such User Submissions are deemed non-confidential and VERSUS shall be under no obligation to maintain the confidentiality of any information, in whatever form, contained in any User Submission. 

INAPPROPRIATE USER SUBMISSIONS
VERSUS does not encourage, and does not seek User Submissions that result from any activity that: (i) may create a risk of harm, loss, physical or mental injury, emotional distress, death, disability, disfigurement, or physical or mental illness to you, to any other person, or to any animal; (ii) may create a risk of any other loss or damage to any person or property; or (iii) may constitute a crime or tort.  You agree that you have not and will not engage in any of the foregoing activities in connection with producing your submission. Without limiting the foregoing, you agree that you will not inflict emotional distress on other people, will not humiliate other people (publicly or otherwise), will not assault or threaten other people, will not enter onto private property without permission, and will not otherwise engage in any activity that may result in injury, death, property damage, and/or liability of any kind. VERSUS will reject any submissions in which VERSUS believes, in its sole discretion, that any such activities have occurred.  If notified by a user of a submission that allegedly violates any provision of these Terms of Use, VERSUS reserves the right to determine, in its sole discretion, if such a violation has occurred, and to remove any such submission from the Site.

BULLETIN BOARDS AND CHAT ROOMS
VERSUS does not endorse and has no control over the content of messages and other materials (including uploaded files, posted data or any other materials or communications on, or transmitted through, the Site) (collectively, “Messages”) submitted by others to bulletin boards, chat rooms, blog comments, User Submissions or other public areas within, or in connection with the Site (collectively “Forums”) and accepts no responsibility whatsoever in connection with, or arising from such Messages. You acknowledge that VERSUS does not pre-screen Messages posted on or transmitted through the Site and is not obligated or responsible for verifying the accuracy, reliability or appropriateness of Messages. Nonetheless, you agree that VERSUS may, in its sole discretion, refuse to post, store or transmit any Message submitted by you or move, remove, edit or modify any Message for any reason at any time.

YOUR CONDUCT
In submitting Messages, you will represent yourself accurately and truthfully at all times and you agree to strictly limit yourself to discussions about the subject matter for which the Forums are intended. You also agree to permit any other user of the Site to access, view, store or reproduce the material in Messages submitted by you for that other user’s personal use and not to restrict or inhibit the use of the Site by any other person. You agree that any Message whatsoever submitted by you becomes the property of VERSUS and may be used, copied, sublicensed, adapted, transmitted, distributed, publicly performed, published, displayed or deleted as VERSUS sees fit.

You agree that Messages you submit:
- shall not be fraudulent or intentionally misleading or inaccurate;
- shall not be unlawful, defamatory, threatening, harassing, obscene, vulgar, pornographic, profane or indecent including any communication that constitutes (or encourages conduct that would constitute) a criminal offense, gives rise to civil liability or otherwise violates any local, state, national or international law (including, without limitation, those governing securities transactions, consumer protection, unfair competition, false advertising, deceptive practices or anti-discrimination);
- shall not infringe or otherwise violate the copyright, trade secret, trademark or other intellectual property rights or rights of privacy or publicity of any other person;
- shall not be intentionally malicious or derogatory toward VERSUS or any of VERSUS' affiliates, advertisers or licensors;
- shall not be for commercial purposes or contain any unsolicited advertising, promotional materials, junk mail, spam, chain letters or pyramid schemes; and
- shall not contain any virus, Trojan horse, worm, time bomb or other program or routine that is intended to damage, interfere with or intercept, misappropriate or gain control over any computer, system, data or personal information.

ACCOUNT SECURITY
You are entirely responsible for the security and confidentiality of your password and account. Furthermore, you are entirely responsible for any and all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security of which you become aware. You are responsible for taking precautions and providing security measures best suited for your situation and intended use of the Services and Site. We have the right to provide user billing, account, content or use records, and related information under certain circumstances (such as in response to legal responsibility, lawful process, orders, subpoenas, or warrants, or to protect our rights, customers or business). Please note that anyone able to provide your personally identifiable information will be able access your account so you should take reasonable steps to protect this information.

LINKED WEBSITES AND ADVERTISERS
VERSUS and its affiliates are not responsible for the content or practices of unaffiliated third party websites that may be linked to the Site. Your correspondence or business dealings with, or participation in promotions of, advertisers found on the Site, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such advertiser. You agree that VERSUS shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such advertisers on the Site.  Neither we nor any of our respective affiliates endorse, guarantee, or make any representations or warranties regarding any other websites, or any content, materials or other information located or accessible from any other websites, or the results that you may obtain from using any other websites.

ACCESS AND INTERFERENCE
You agree that you will not use any robot, spider, scraper or other automated means to access the Site for any purpose without our express written permission. Additionally, you agree that you will not: (i) take any action that imposes, or may impose in our sole discretion an unreasonable or disproportionately large load on our infrastructure; (ii) interfere or attempt to interfere with the proper working of the site or any activities conducted on the Site; or (iii) bypass any measures we may use to prevent or restrict access to the Site.

REPRESENTATIONS AND WARRANTIES FOR USER SUBMISSIONS 
You shall be solely responsible for your own User Submissions and the consequences of posting or publishing them. In connection with User Submissions, you affirm, represent and warrant the following:  (i)  You are over the age of 18 and have the right and authority to enter into this Agreement, and are fully able and competent to satisfy the terms, conditions and obligations therein; (ii) You have obtained all consents, and possess all copyright, patent, trademark, trade secret and any other proprietary rights, or the necessary licenses thereto, to grant the license to VERSUS; (iii) if necessary you have the written consent of each and every identifiable natural person in the User Submission to use such persons name or likeness in the manner contemplated by the Site and these Terms of Use, and each such person has released you from any liability that may arise in relation to such use; (iv) You have read, understood, agree with, and will abide by the terms of this agreement; (v) You are not, and have not been an agent of VERSUS and were not and are not acting on behalf of, or as a representative of, VERSUS or any other party in connection with the User Submission; (vi) the User Submission and VERSUS’ use thereof as contemplated by this Terms of Use and the Site will not infringe any rights of any third party, including but not limited to any intellectual property rights, privacy rights and rights of publicity; (vii) You are not, nor is any other person who appears in your User Submission, a current member of the Screen Actors Guild (SAG), the American Federation of Television and Radio Actors (AFTRA) or any other rights society; (viii) You have not and will not engage in any of the following in connection with the production of, your appearance in, or contribution(s) to your User Submission: infliction of injury to any person or animal, humiliation of any person (whether public or private), infliction of emotional distress on any person, assault or battery of any person, damage to any property without permission, entry on any property without permission, or any other act or omission that could give rise to civil and/or criminal liability; (ix) The User Submission does not contain: (a) material falsehoods or misrepresentations that could harm VERSUS or any third party; (b) content that is unlawful, obscene, defamatory, libelous, threatening, pornographic, harassing or encourages conduct that would be considered a criminal offense, give rise to civil liability or violate any law; (c) advertisements or solicitations of business; or (d) impersonations of third parties, other than those which are readily apparent.

DISCLAIMERS
ALL CONTENT, MATERIALS, INFORMATION, SOFTWARE, PRODUCTS AND SERVICES INCLUDED IN OR MADE AVAILABLE ON THE SITE ARE PROVIDED “AS IS” AND “AS AVAILABLE.” VERSUS DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. VERSUS AND ITS SUPPLIERS AND LICENSORS DO NOT WARRANT THAT (I) THE SITE OR ANY OF THE CONTENT OR MATERIALS INCLUDED IN OR MADE AVAILABLE ON THE SITE IS ACCURATE, TIMELY, COMPLETE OR RELIABLE, (II) THE SITE WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, (III) THE SITE WILL BE SECURE OR ERROR-FREE, (IV) ANY DEFECTS OR ERRORS WILL BE CORRECTED OR (V) THAT THE CONTENT OR MATERIALS INCLUDED IN OR MADE AVAILABLE ON THE SITE IS FREE OF VIRUSES OR OTHER HARMFUL CODE OR PROGRAMS. IN NO EVENT SHALL VERSUS OR ITS PARENT COMPANIES, SUBSIDIARIES OR AFFILIATES, TOGETHER WITH THEIR RESPECTIVE EMPLOYEES, AGENTS, DIRECTORS, OFFICERS AND SHAREHOLDERS, BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, SPECIAL OR INCIDENTAL DAMAGES OR DIRECT DAMAGES IN EXCESS OF $100 ARISING OUT OF THE USE OF, OR INABILITY TO USE, THE SITE. YOU SPECIFICALLY ACKNOWLEDGE THAT VERSUS SHALL NOT BE LIABLE FOR USER SUBMISSIONS OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY THAT MAY BE THEREIN, AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH YOU.  IN JURISDICTIONS WHICH DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CONSEQUENTIAL OR INCIDENTAL DAMAGES, VERSUS’ LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW.

INDEMNITY
You agree to defend, indemnify and hold VERSUS and its parent companies, subsidiaries and affiliates, together with their respective employees, agents, directors, officers and shareholders, harmless from and against all liabilities, losses, claims, damages, costs and expenses (including reasonable attorneys’ fees and costs) arising out of (i) your use or misuse of the Site, (ii) your breach or alleged breach of these Terms of Use or (iii) your violation of any law, rule, regulation or rights of others; (iv) your violation of any third party right, including without limitation any right of privacy, publicity rights or intellectual property rights; (v) any claim or damages that arise as a result of any User Submission that you provide to VERSUS; or (vi) any other party’s access and use of the Site with your unique username, password or other appropriate security code.

RELEASE
In the event that you have a dispute with one or more other users of the Site, you release VERSUS (and our officers, directors, agents, subsidiaries, joint ventures and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.

TERMINATION
You agree that VERSUS, in its sole discretion and without notice or liability to you, may terminate your use of, or access to, the Site at any time if VERSUS believes that you have violated or acted inconsistently with these Terms of Use or any applicable law, rule or regulation or that you have engaged in conduct that VERSUS determines to be inappropriate or unacceptable.

COPYRIGHT INFRINGEMENT
VERSUS respects the intellectual property rights of others and we ask our users to do the same. If you believe your work had been copied in a way that constitutes copyright infringement and is accessible on the Site, please notify VERSUS in accordance with the following procedure:

MISCELLANEOUS
These Terms of Use and Privacy Policy constitute the entire agreement between you and VERSUS with respect to the subject matter hereof and supersedes all prior and contemporaneous communications and understandings (whether oral, written or electronic). If any part of these Terms of Use is held to be invalid or unenforceable, that portion shall be construed in a manner consistent with the applicable law to reflect, as nearly as possible, the original intentions of the parties and the remaining provisions shall remain in full force and effect. This Agreement shall be governed by and construed in accordance with the laws of the State of New York applicable to contracts made and fully performed therein, without regard to conflicts of laws. The sole jurisdiction and venue for actions relating to these Terms of Use or otherwise relating to the Site shall be the state and federal courts located in the New York, New York and each party irrevocably submits to the exclusive jurisdiction of such courts.
